Welcome to TheTopSeat™ ("Platform"), operated by StakeSeat™ ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through the Platform.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
2. Eligibility
The Platform is intended for users who are at least 18 years old and of legal age to participate in online poker in their jurisdiction. By accessing or using the Platform, you represent and warrant that you meet these requirements.
3. Membership and Seat Ownership
TheTopSeat™ offers two primary forms of participation:
- Membership: Limited to 10,000 premium memberships, providing access to the Platform and eligibility for seat ownership.
- Seat Ownership: Limited to 1,000 seats across 100 tables, providing owners with a share of platform rake distributions and other benefits as described on the Platform.
Purchase of membership or seats is subject to availability and the specific terms provided at the time of purchase.
4. Platform Rules and Conduct
When using the Platform, you agree to:
- Comply with all applicable laws and regulations
- Respect the rights of other users
- Not engage in any form of cheating, collusion, or fraudulent activity
- Not use the Platform for any illegal or unauthorized purpose
- Not attempt to interfere with the proper functioning of the Platform
5. Intellectual Property
TheTopSeat™ and StakeSeat™ are trademarks of the Company. All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.
6. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Company does not guarantee any specific results from the use of the Platform, including any specific level of rake distributions to seat owners. All projections are based on platform activity and are not guarantees of future performance.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is established, without regard to its conflict of law provisions.
9. Changes to Terms
The Company reserves the right to modify these Terms at any time. We will provide notice of any material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
